Starting in 2025, Pennsylvania businesses will need to comply with a new annual report requirement introduced by the Pennsylvania Department of State. This change aligns Pennsylvania with the practices of most other states and aims to keep business registration information accurate and up-to-date. The requirement applies to the following types of domestic and foreign entities:

  • Business corporations
  • Nonprofit corporations
  • Limited liability companies (LLCs)
  • Limited partnerships
  • Limited liability general partnerships
  • Professional associations
  • Business trusts

Filing Requirements and Fees

    When filing your annual report, you will need to provide:

    • Business name
    • Jurisdiction of registration
    • Registered office address
    • Principal office address
    • Name of at least one governor (director, member, partner, etc.)
    • Names of officers (if applicable)
    • Department of State file number

    The filing fee is $7, which is waived for nonprofits. Updates to your report can be made throughout the year at no additional charge.

    Filing Deadlines and Consequences of Non-Compliance

    Filing windows vary based on entity type:

    • Corporations: January 1 – June 30
    • Limited Liability Companies (LLCs): January 1 – September 30
    • All Others: January 1 – December 31

    The Department of State will send email notifications (if an email address is on file) and postcards to remind businesses of their deadlines. You can use the Department's Online Filing Portal to ensure your email address and mailing address are up to date.

    Failure to file an annual report will result in the administrative dissolution, termination, or cancellation of the business registration, effective in 2027.
